The US-Thai Treaty of Amity, formally known as the Treaty of Amity and Economic Relations between the Kingdom of Thailand and the United States of America, was signed on May 29, 1966. Its primary aim is to grant special privileges and advantages to American citizens looking to establish businesses in Thailand. It is one of the oldest diplomatic and economic that remains active to date.

Benefits Awarded to American Entrepreneurs via the Treaty of Amity:
Majority ownership: American companies are allowed to hold the majority of shares or the entirety of a company, branch office, or representative office in Thailand.
Equal treatment: American companies can engage in business activities on equal terms with Thai companies, bypassing many of the restrictions imposed by Thailand's Alien Business Law of 1972.
Restrictions:
Despite the advantages provided, the Treaty of Amity imposes certain restrictions on US investors. These restrictions include prohibitions on engaging in reserved activities such as:
Communications.
Transportation.
Fiduciary functions.
Banking involving depository functions and ownership, and exploitation of land or natural resources.
Domestic trade in indigenous agricultural products.
Requirements that must be met:
Ownership and directorship: At least 51% of shares must be held by American citizens, and a minimum of 50% of directors must be American citizens.
Minimum capital requirements: While treaty-protected companies receive favorable treatment under the Treaty of Amity, they must still fulfill the minimum capital requirements outlined in the Foreign Business Act (FBA). If a business activity is not restricted under the FBA, the minimum capital requirement for a treaty-protected company is THB 2 million.
If a business activity requires a Foreign Business License under the FBA, the minimum capital requirement increases to THB 3 million for each business activity.

Majority Foreign-Owned Thai Limited Company

About Thai Limited Companies:
The Thai Limited Company is a widely favored and appealing business structure among foreign investors operating in Thailand, owing to its flexibility. This corporate form is extensively utilized within the country. It bears similarities to the Limited Liability Company (LLC) in the United States or the Private Limited (Pte. Ltd.) entity in Singapore.In a Thai Limited Company, the organization is owned by a minimum of three shareholders and managed by at least one director. Section 1097 of the Civil and Commercial Code stipulates that any three or more individuals may, through the subscription of their names to a memorandum and in compliance with the Code's provisions, initiate and establish a limited company. The shareholders' direct involvement in company affairs is somewhat restricted, as the directors assume responsibility for managing the company's operations and, concurrently, have fiduciary duties to both the shareholders and the company.
Foreign Majority-Owned Limited Company:
A foreign majority-owned limited company is a business entity with over 49% foreign ownership. The business operations and activities involving foreign nationals and entities are governed by the Foreign Business Act. Entities with majority foreign ownership are mandated to obtain a Foreign Business License before commencing operations in Thailand.
Requirements that must be ready before you hire SBV as your agent:
Minimum Promoters: At least three natural persons are required as promoters (initial shareholders). This minimum of three shareholders must be maintained throughout the company's operations. It is important to note that not everyone can assume the role of a promoter. The minimum requirement for a promoter is to be at least twenty-one years of age and legally capable of acting on behalf of the company. Typically, promoters hold equal shares in the company. It is only after the company's registration that promoters' shares can be transferred to others.
Office Location: The company must have a head office in Thailand, a copy of the house registration (Tabien Baan) number and a Letter of Consent obtained from the landlord.

PS manages commercial and residential buildings and is authorized to act as a real estate agent for its clients. This service allows both prospective and existing clients to apply for housing that is either directly managed by PS or by a 3rd party. PS offers consultation services relevant to all of its specialized service offerings to both prospective and existing clients. For more information visit the "Consultancy" service page.Refund Policy:ALL refunds will have 15% of the refundable amount deducted from them due to the cost incurred from our 3rd party payment gateway partners.Each service tier has a different refund policy all of which are outlined below:For EXPRESS Services: Only refundable if Pro Sigma (TM) discovers legally compelling factors to terminate your order. Such factors could be criminal record(s)/court order(s) (or similar cases) barring the client(s) from registering a company in Thailand. If such a rare case arises, Pro Sigma (TM) shall terminate the clients' order(s) and issue an 85% refund.For Application-Based Services: Refundable ONLY if Pro Sigma (TM) denies your application based on our eligibility criteria.In the case an order is approved, the client has 30 days to complete payment for their order (minus the 20% deposit) from the date of receiving the approval email. If the payment for the service(s) is not completed within 30 days of receiving the application approval email, the order will be automatically void, and the client's right to a refund forfeited.
